Aurum PropTech Limited has signed a binding agreement to acquire 100% of Locon Solutions Private Limited, the company that owns real estate platform Housing.com. The deal is worth ₹458.06 crore and will be completed through a share swap, which means no cash will be paid as part of the transaction.
With this acquisition, Aurum PropTech is taking another big step to expand its presence in India’s proptech sector. The company plans to combine Housing.com’s large customer base with its existing real estate businesses to build an AI-powered property technology platform.
The transaction is subject to shareholder and regulatory approvals and is expected to be completed before September 30, 2026.
Share-swap deal changes Aurum PropTech’s shareholding
As part of the deal, Aurum PropTech will issue 1,97,93,309 new equity shares with a face value of ₹5 each to REA India Pte Ltd through a preferential allotment. These shares will be issued at ₹231.42 each, taking the total value of the transaction to ₹458.06 crore.
After the deal is completed, REA India’s stake in Aurum PropTech will increase from 5.54% to 24.90%. This will make REA India one of the company’s biggest minority shareholders. REA had earlier received its 5.54% stake after selling PropTiger to Aurum in 2025.
At the same time, Aurum PropTech’s board has approved the issue of 51 lakh fully convertible warrants to promoter company Aurum RealEstate Developers Limited. The warrants are also priced at ₹231.42 each and can raise up to ₹118.02 crore for the company.
The promoter group can convert these warrants into equity shares within 18 months. If they are not converted during this period, the warrants will expire. Even after this investment, the promoter group’s shareholding will come down from 47.89% to 41.17% because of the larger number of shares issued under the Housing.com deal.
The company will also change its Articles of Association to give REA India tag-along rights. This means if Aurum’s promoters decide to sell 5% or more of the company’s shares to another buyer, REA India will also have the right to sell its shares at the same or a better price. These rights will continue as long as REA and its affiliates hold at least a 10% stake in Aurum PropTech.
Housing.com acquisition strengthens Aurum’s AI plans
Aurum PropTech believes the acquisition will help it build a stronger real estate technology business.
Housing.com currently attracts more than 58 million average monthly visitors and has around 12 million monthly active users. Aurum plans to combine this large online marketplace with its existing businesses such as Sell.do, PropTiger, NestAway and HelloWorld.
The company says this integration will help it build what it calls India’s first “AI Native Real Estate Operating System.” The idea is to connect property search, buying, renting, financing and other real estate services on one technology platform powered by artificial intelligence.
Aurum Ventures Founder and CEO Ashish Deora said bringing all these businesses together will create a smarter platform where every customer search, enquiry and transaction helps improve the system. This is Aurum PropTech’s ninth acquisition in the last four years.
The announcement also comes after Aurum reported better financial performance. The company posted its second straight profitable quarter in Q4 FY26. Its full-year revenue grew 72% to ₹135 crore, while its annualised recurring revenue crossed ₹500 crore.
However, Aurum’s full-year net profit of ₹16.64 crore was mainly supported by the sale of non-core assets. The company sold Buildings Q5 and Q6 in Navi Mumbai for ₹112 crore to reduce debt and invest more in artificial intelligence projects.
REA India gets new CEO as Housing.com’s ownership changes
The acquisition also comes during a leadership change at REA India.
Dhruv Agarwala stepped down as CEO of REA India in April 2026 to start a new entrepreneurial journey. He has now been replaced by Praveen Sharma, who officially took charge in July. Sharma has nearly 25 years of experience and has previously worked at Google and Paytm.
REA Group CEO Cameron McIntyre said Aurum’s strong understanding of the Indian market makes it the right company to take Housing.com forward and continue building on the work done by the existing team.
On the financial side, Locon Solutions reported audited revenue of ₹687.46 crore in FY25, compared to ₹447.49 crore in FY24. However, its unaudited revenue dropped sharply to ₹309.93 crore in FY26. REA Group also said it expects to record a loss of around A$110 million from the sale because of goodwill impairment and other transaction-related costs.
Aurum PropTech’s board approved the acquisition on July 16, 2026. Shareholders will vote on the proposal at an Extraordinary General Meeting on August 14, 2026, through video conferencing. If all approvals are received on time, the deal is expected to close before the end of September, marking another major development in India’s growing proptech industry.
